Phase 1

STEP 1  •  Acquisition strategy, preparation and screening

  • The process begins with a comprehensive review of your acquisition strategy, ensuring it aligns with your broader business goals. Just a few of the topics to consider: Who do you want to acquire? Why? Do you have the necessary resources for the acquisition, integration?
  • We leverage all our expertise and experience to guide you in making informed decisions . This sets the foundation for a focused and strategic approach to acquisitions.
  • We discuss together the ideal target profile, which can be based on your inputs or a “wish list” you provide.
  • Once the list is compiled, we do our research, check our database, analyse the companies, refine the outreach message, and outline the strategic vision to communicate. We then move on to the contacting phase.
  • Our extensive regional network – built through hosting events, engaging with industry associations, and speaking with thousands of companies over the years – ensures we identify the ideal targets efficiently for you.

STEP 2  •  Contacting, assessment and LOI

  • After you approve the potential targets, we initiate discreet yet persistent outreach to owners and decision-makers.
  • As conversations begin, we gather additional information about the company, assess their interest in a transaction, and use pre-approved questions to better understand their business. Having supported hundreds of sell-side deals, we deeply understand how sellers think, which is a key advantage at this stage.
  • We conduct preliminary financial reviews and align with you on key aspects of the potential deal. At the appropriate stage, you can join discussions to establish rapport, share plans, and assess whether both sides are ready to move forward.
  • If all parties agree, we progress toward drafting the Letter of Intent (LOI). The LOI outlines the key terms of the potential acquisition and sets the stage for a focused Due Diligence process.
  • We also recommend developing a synergy and integration plan, addressing identified risks, and creating a compelling yet realistic offer structure.

Phase 2

STEP 3  •  Due diligence and Binding offer

  • In this phase, we coordinate a thorough Due Diligence process, supervised and guided by our team at Absolvo, with involvement of the local, optimal legal, tax and other (technical, commercial, ESG etc) advisors as needed.
  • This comprehensive review covers all critical aspects of the target business, from financials and legal questions to operations. Our goal is to identify potential risks and validate the strategic fit, compiling findings into a final Due Diligence report.
  • This report supports the preparation of a binding offer, ensuring you are equipped with the insights necessary to make an informed investment decision.

Phase 3

STEP 4 • Negotiation, signing and closing

  • Once the Due Diligence process is completed, we transition to negotiating the Sale and Purchase Agreement (SPA) and if needed – if it’s not a 100% acquisition - the Shareholders Agreement (SHA).
  • This stage involves detailed discussions between the legal advisors, the sellers, the target's management, and their advisors to finalize terms, purchase price, or indemnities, and reps & warranties. We follow an agile project management approach, ensuring the progress remains on track.
  • We are ready to take part in the integration process also, which shall begin during the due diligence, to ensure a smooth post-acquisition transition.
  • While an M&A transaction may be a long process, our advisors steadily driver the deal towards, signing of the SPA/SHA, support in getting the necessary approvals, clearances and thorough arrangement of the necessities before closing, marking a critical milestone in the transaction.
  • The closing phase focuses on finalizing the transaction. Ideally, this is a delightful action and day. In reality, the days or weeks before closing still requires attention.
  • We ensure that all legal, technical, and financial requirements are fully met. In parallel, we support being ready for internal and external communications to align stakeholders and facilitate a smooth transition.
  • In many cases, acquisitions don’t deliver the visional value. We cannot stress enough that successful integration is critical to realizing the strategic benefits of the acquisition.
